Financial Structure

How the payment works

Pay in full upfront or spread it across a term of up to 24 months. The total never changes based on the schedule. There is no interest, no financing markup, and no penalty for choosing installments. The monthly amount is the total divided by the number of months.

Pay over a term

Fixed monthly payments over up to 24 months. The total equals the cash price exactly. Ownership vests progressively as you pay. Every dollar is principal — never interest.

Progressive Ownership

What vesting means

Ownership isn't a switch that flips on the last payment. It accumulates. Each milestone locks in rights you keep regardless of what happens next.

Day one

Platform deployed, escrow funded

Your instance goes live on Djanity-managed infrastructure. Source code is deposited into third-party escrow the same day. Your business data belongs to you unconditionally from this moment forward.

Twelve months

Perpetual fallback license vests

You earn a perpetual license for the current version of the platform. If you stop paying at month thirteen, you walk away with the version that was current at month twelve. It runs forever. No expiration, no degradation, no kill switch.

Term complete

Unrestricted perpetual license and full deployment package

The complete platform transfers to you. Containerized services, POS application, storefront, CMS, database, and documentation sufficient for fully independent operation. No restrictions on modification. No ongoing obligation to Djanity.

What you receive

Ownership means something specific. Not a GitHub link. Not an export. A complete, running deployment of the platform that powers your business.

Containerized services

The complete backend — API, task queues, real-time sync engine, search — packaged as Docker containers ready for deployment on any hosting infrastructure.

POS application

The Electron-based terminal application with offline transaction caching, barcode scanning, receipt printing, and hardware integration.

Online storefront

Your customer-facing e-commerce application — product pages, collections, checkout, customer accounts — with every customization you've made during the term.

Content management studio

The CMS that controls your storefront content, product catalog, promotions, and page layouts. Visual editing, scheduled publishing, and media management included.

Database and business data

Your complete dataset — every transaction, customer record, inventory movement, and audit log. In standard formats. Yours unconditionally from day one, delivered in full at term completion.

Operations documentation

Deployment guides, configuration references, and operational runbooks. Everything a qualified engineer or managed hosting provider would need to run the platform without Djanity's involvement.

Buyer Protection

What protects you

The ownership promise is only as strong as the mechanisms behind it. These aren't marketing claims. They're contractual obligations and third-party safeguards.

Software escrow

Source code is deposited with an independent third-party escrow agent on the day your platform goes live. If Djanity can't fulfill its obligations — for any reason — the escrow agent releases the code directly to you. Your investment is protected from day one, not day last.

Bankruptcy protection

Your license is structured to be protected under Section 365(n) of the U.S. Bankruptcy Code. In a worst-case scenario, your perpetual license rights survive. The code doesn't become part of an asset sale to a creditor. Your license endures.

Unconditional data portability

Your business data belongs to you at all times — not at the end of the term, not after a request, not conditionally. Export your complete dataset in standard formats at any point. No export fees, no throttling, no "contact support to initiate."

Honest Boundary

What ownership doesn't mean

Most companies would never include this section. We think leaving it out would undermine everything above it.

You own your configured instance of the platform. Your data, your customizations, your storefront, your integrations, your entire operational deployment. You can modify it, extend it, host it anywhere, hire anyone to maintain it, and run it for as long as you want.

You do not own the right to resell, redistribute, or sublicense the underlying platform to other businesses. Ownership is of the house — not the right to subdivide the lot. You own the structure. You can renovate every room, add a wing, repaint the exterior, live in it forever. But you can't franchise the architecture.

This distinction is what makes the ownership promise sustainable. If every sale created a potential competitor, the model wouldn't survive long enough to serve anyone. Being direct about this boundary is how we keep the rest of the promise credible.
